By creating an account or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not access or use our services. These terms apply to all users, including companies, team members, and administrators.

Makken provides an AI-native CRM for sales teams, combining pipeline CRM, a power dialer, call AI, email and calendar, and gamification in a single product with one bill and one record of every interaction. The product is designed to replace a stack of separate tools with one system that sales reps actually use. We reserve the right to modify, suspend, or discontinue any part of our services at any time.

To use our services, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these terms.

You agree to use our services only for lawful purposes and in accordance with these terms. You shall not: use our services in any way that violates applicable laws or regulations, transmit any material that is defamatory, offensive, or otherwise objectionable, attempt to gain unauthorized access to our systems or other users' accounts, interfere with or disrupt the integrity or performance of our services, use our services to send spam or unsolicited communications, reverse engineer or attempt to extract the source code of our software, or use our AI features for purposes other than legitimate sales operations.

You retain ownership of the customer and prospect data you store and process through the product. You are responsible for ensuring that your collection, use, and processing of that data complies with all applicable laws and regulations, including any applicable telemarketing, call-recording, consent, and data-protection requirements. You are responsible for obtaining any consents required to record calls or contact individuals through the product, and for configuring the product in accordance with the laws of the jurisdictions in which you and your contacts are located.

All content, features, and functionality of our services are owned by Makken and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of content you submit through our services. By submitting content, you grant us a license to use, modify, and display it as necessary to provide our services. You may not use our trademarks, logos, or branding without our prior written consent.

Certain services require payment of fees. All fees are stated in US dollars unless otherwise specified. Fees are non-refundable except as expressly stated. We may change our fees upon 30 days' notice. Failure to pay may result in suspension or termination of services. You are responsible for all applicable taxes.

The product includes a power dialer and AI features that assist with placing calls, recording and transcribing conversations, and surfacing insights from your sales activity. You acknowledge that: AI-generated outputs may occasionally be inaccurate, you remain responsible for verifying critical information and for the content of communications sent through the product, the AI is not a substitute for professional judgment, call recordings and transcriptions are stored securely, and you are responsible for notifying call participants of recording where required by law.

To the maximum extent permitted by law, Makken shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Our total liability for any claims arising from your use of our services shall not exceed the amount you paid us in the 12 months preceding the claim.

Our services are provided 'as is' and 'as available' without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely secure. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

You agree to indemnify and hold harmless Makken, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our services, your violation of these terms, or your violation of any rights of another party.

Either party may terminate this agreement at any time. Upon termination: your access to our services will be discontinued, you must pay any outstanding fees, we will provide you with your data in a standard format upon request, and certain provisions of these terms will survive termination.

These terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these terms or your use of our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

We may update these Terms of Service from time to time. We will notify you of material changes by email or through the product. Your continued use of our services after changes become effective constitutes your acceptance of the new terms.
